This Privacy Policy explains how KOIN Network LLC ("Koinetic," "we," "us," or "our") collects, uses, discloses, and protects personal information in connection with Koinetic, including koinetic.com, Koinetic dashboards, storefronts, APIs, documentation, templates, marketplace features, syndication features, sponsorship tools, payments tools, and related services (collectively, the "Platform").
This Privacy Policy is designed for Koinetic's pre-launch and launch period and may be updated as the Platform evolves.
1. Scope
This Privacy Policy applies to personal information we process when you:
- visit koinetic.com or related Koinetic pages;
- create or use a Koinetic account;
- sign in with KOIN or another supported login method;
- choose a plan or complete checkout;
- operate or administer a storefront or tenant property;
- use Koinetic APIs, developer tools, or documentation;
- submit forms, support requests, marketplace inquiries, claims, reviews, or other communications;
- participate in syndication, sponsorship, marketplace, or payment-related features;
- interact with Koinetic emails, notices, or support.
Koinetic may also process personal information on behalf of tenant operators who use Koinetic to run their own properties. In that case, the tenant may be the primary controller/business for its own visitors and customers, and Koinetic may act as a processor/service provider as described below.
2. Our Role: Controller and Processor
Koinetic may act in different roles depending on the context.
Koinetic as controller/business
We are generally the controller/business for personal information related to:
- Koinetic account creation;
- plan selection and subscription billing;
- Koinetic.com visitors;
- operator onboarding;
- KOIN login to Koinetic;
- support, security, fraud prevention, abuse prevention, and platform analytics;
- marketplace access and Koinetic-controlled features;
- our own legal, compliance, and business operations.
Koinetic as processor/service provider
When a tenant uses Koinetic to operate its own property, Koinetic may process personal information on behalf of that tenant, including information submitted by the tenant's visitors, customers, leads, reviewers, claimants, buyers, sellers, carriers, distributors, partners, or sponsors.
In that case, the tenant is responsible for its own privacy notices, legal bases, consents, cookie notices, customer requests, and compliance obligations. Koinetic processes that information to provide the Platform and related services to the tenant.
3. Personal Information We Collect
The information we collect depends on how you use Koinetic.
Account and profile information
We may collect:
- name;
- email address;
- username or display name;
- company or organization name;
- role, permissions, and team membership;
- login method and account identifiers;
- password or authentication data where applicable;
- two-factor authentication settings;
- KOIN account connection status and related account information where enabled.
Tenant and storefront information
We may collect:
- tenant name;
- storefront name;
- domain and subdomain information;
- plan selection;
- billing status;
- templates, settings, appearance, navigation, SEO, social links, and configuration;
- users, roles, permissions, audit logs, and admin actions.
Content and submission data
We may collect content and data submitted to or through the Platform, including:
- listings, categories, pages, articles, media, legal notices, banners, and email templates;
- forms and leads;
- contacts and messages;
- reviews and claims;
- marketplace listings, inquiries, offers, and acquisition requests;
- affiliate, syndication, sponsorship, and carrier/distributor information;
- support messages and attachments.
Payment and billing information
We may collect or receive:
- plan, subscription, and billing history;
- checkout status;
- transaction identifiers;
- payment method type and limited payment metadata;
- payout account status;
- invoice and receipt information;
- refund, dispute, chargeback, and tax-related information.
Payment card details and bank account details may be collected and processed directly by our payment processors, such as Stripe. We do not store full payment card numbers unless expressly stated and supported by a compliant payment provider.
KOIN-related information
Where KOIN login or KOIN-related features are enabled, we may process:
- KOIN account identifiers;
- authentication status;
- session tokens or relay tokens;
- referral link metadata;
- KOIN reputation or discount eligibility data;
- member discount status;
- account standing information used to calculate platform-controlled benefits.
KOIN-related discounts are platform benefits and are not cash, stored value, securities, or transferable rights.
Device, usage, and technical data
We may collect:
- IP address;
- browser type;
- device type;
- operating system;
- referring and exit pages;
- pages viewed;
- date and time of access;
- session identifiers;
- cookie and local storage identifiers;
- API request metadata;
- logs, headers, rate-limit events, error events, and security events;
- approximate location derived from IP address.
Marketplace, syndication, and sponsorship data
We may collect:
- marketplace listing details;
- verified platform activity used for marketplace trust signals;
- listing counts, property age, plan data, and verified revenue summaries;
- syndication applications, approvals, filters, carrier scores, recommendations, and status;
- sponsorship placements, clicks, impressions, and performance metadata.
4. How We Use Personal Information
We use personal information to:
- provide, operate, maintain, and improve the Platform;
- create and manage accounts, tenants, storefronts, plans, subscriptions, and workspaces;
- authenticate users and secure access;
- provision storefronts after checkout;
- process payments, subscriptions, invoices, refunds, disputes, and billing records;
- enable KOIN login, KOIN discounts, referral links, and related account features where enabled;
- support listings, content, forms, reviews, claims, marketplace, syndication, sponsorships, analytics, and API features;
- provide customer support;
- send service notices, security notices, billing notices, and product updates;
- monitor performance, errors, uptime, abuse, fraud, and security threats;
- enforce our Terms, policies, and agreements;
- comply with legal, regulatory, tax, accounting, and payment processor obligations;
- improve documentation, onboarding, usability, and product quality;
- develop new features, including future payment, settlement, or network features where lawfully enabled.
5. Legal Bases for Processing
Where required by law, including under the GDPR or similar laws, we rely on one or more legal bases:
- Contract: to provide the Platform, process subscriptions, support accounts, and deliver requested services.
- Legitimate interests: to secure the Platform, prevent fraud and abuse, improve services, analyze usage, support customers, and operate our business.
- Consent: where required for certain cookies, marketing communications, or optional features.
- Legal obligation: to comply with tax, accounting, payment, security, regulatory, law enforcement, or legal process requirements.
6. Cookies and Similar Technologies
We may use cookies, local storage, pixels, SDKs, and similar technologies to:
- keep users signed in;
- remember preferences;
- secure sessions;
- prevent fraud and abuse;
- measure usage and performance;
- support analytics;
- improve product experience;
- support marketing or attribution where enabled.
Some cookies are necessary for the Platform to function. Others may be optional depending on your location and settings.
Tenant-operated properties may have their own cookie and tracking practices. Tenants are responsible for providing any required cookie notices and consent tools for their own properties.
7. How We Share Personal Information
We may share personal information with:
Service providers
Vendors and processors that help us operate the Platform, including hosting, infrastructure, analytics, logging, security, customer support, email, storage, payments, identity, and development tools.
Payment processors
Payment providers such as Stripe may process payment, payout, identity, tax, dispute, and transaction information under their own terms and privacy policies.
KOIN-related services
Where KOIN login or KOIN-related features are enabled, relevant account, authentication, referral, or discount eligibility information may be exchanged with KOIN-related systems to complete login, session relay, referral, or discount functions.
Tenants and property operators
If you interact with a tenant-operated property, submit a form, claim a listing, leave a review, make an inquiry, request an acquisition, or otherwise communicate through a property, your information may be shared with that tenant or property operator.
Marketplace participants
Marketplace inquiries, acquisition requests, offer details, buyer/seller contact information, and related communications may be shared with the relevant buyer, seller, tenant, or platform specialist.
Syndication and sponsorship participants
Syndication and sponsorship information may be shared with relevant distributors, publishers, carriers, sponsors, operators, or tenants as needed to manage approvals, attribution, placement, reporting, fraud prevention, payouts, and network operations.
Legal, safety, and compliance recipients
We may disclose information where we believe it is necessary to comply with law, legal process, tax obligations, payment processor requirements, law enforcement requests, regulatory requests, security investigations, fraud prevention, rights enforcement, or protection of users, Koinetic, tenants, or the public.
Business transfers
We may disclose or transfer information in connection with a merger, acquisition, financing, reorganization, sale of assets, bankruptcy, or similar transaction.
8. Payments and Financial Data
Koinetic may use third-party payment processors to handle card payments, subscriptions, invoices, refunds, disputes, payouts, and connected-account onboarding.
We may receive limited payment metadata, such as transaction identifiers, payment status, plan, amount, currency, billing period, payout status, and limited card details such as brand and last four digits.
Koinetic does not generally receive or store full card numbers or bank account numbers unless expressly supported by a payment provider and required for a specific feature.
Future payment or settlement features may be added only where enabled and supported. Until such features are launched and enabled, they are not available as live payment methods.
9. Sample and Seeded Content
Koinetic may provide sample content and seeded listings to help tenants begin operating a property.
Sample content may include business names, product names, categories, descriptions, metadata, or other public or demo-style information.
Sample/unverified content is used for setup and demonstration and should be reviewed, edited, verified, claimed, replaced, or removed by the tenant before reliance.

10. Analytics, Verified Revenue, and Marketplace Data
Koinetic may calculate platform-derived metrics such as listing counts, property age, plan data, transaction counts, verified revenue, revenue trends, and activity signals.
These metrics may be used for dashboards, analytics, marketplace listings, buyer trust signals, account standing, fraud prevention, reporting, and platform operations.
Exact marketplace revenue figures may be gated to signed-in members or eligible users.
11. International Users and Data Transfers
Koinetic may be used by people and operators in many countries.
Your information may be processed in the United States and other countries where Koinetic, its affiliates, service providers, or infrastructure providers operate.
These countries may have privacy laws different from those in your country.
Where required, we use appropriate safeguards for international transfers, such as contractual protections, data processing terms, or other lawful transfer mechanisms.
12. Data Retention
We retain personal information for as long as reasonably necessary to:
- provide the Platform;
- maintain accounts and tenant records;
- support billing, payments, tax, accounting, and audit obligations;
- provide security, fraud prevention, and abuse monitoring;
- resolve disputes;
- enforce agreements;
- comply with legal obligations;
- maintain backups and business records;
- support marketplace, syndication, and verified activity records.
Retention periods vary depending on the type of information, the feature used, legal obligations, user settings, tenant instructions, and operational needs.
We may retain de-identified, aggregated, or anonymized information for analytics, security, product improvement, and business purposes.
13. Security
We use administrative, technical, and organizational measures designed to protect personal information.
These measures may include access controls, authentication, encryption in transit, logging, rate limits, monitoring, backups, provider security controls, and internal permission controls.
No system is completely secure. You are responsible for securing your own account, users, devices, domains, DNS, API keys, custom front ends, connected services, and payment accounts.
14. Your Privacy Rights
Depending on where you live, you may have rights to:
- access personal information;
- correct inaccurate personal information;
- delete personal information;
- object to or restrict certain processing;
- request portability;
- withdraw consent where processing is based on consent;
- opt out of certain marketing communications;
- opt out of certain sales, sharing, or targeted advertising where applicable;
- limit use or disclosure of sensitive personal information where applicable;
- appeal a denied privacy request where applicable.

We may need to verify your identity before fulfilling a request. If your request relates to a tenant-operated property, we may direct you to the tenant or process the request on the tenant's behalf depending on our role and legal obligations.
We will not discriminate against you for exercising privacy rights where prohibited by law.
15. California Privacy Notice
This section applies to California residents where the California Consumer Privacy Act, as amended, applies.
Categories of personal information we may collect
We may collect the following categories:
- identifiers, such as name, email, IP address, account identifiers, and online identifiers;
- customer records information, such as billing and account information;
- commercial information, such as plan, subscription, transaction, marketplace, and payment metadata;
- internet or electronic network activity, such as usage logs, API logs, device data, and analytics;
- geolocation information, such as approximate location from IP address;
- professional or business information, such as company, role, tenant, and team information;
- inferences, such as risk signals, account standing, eligibility, or product usage patterns;
- sensitive personal information where required for authentication, security, payment processor onboarding, fraud prevention, or compliance.
Purposes
We use these categories for the purposes described in this Privacy Policy, including providing the Platform, billing, security, fraud prevention, support, analytics, compliance, marketplace operations, syndication, sponsorships, and product improvement.
Disclosure
We may disclose these categories to service providers, payment processors, identity providers, tenants, marketplace participants, syndication participants, sponsorship participants, legal/compliance recipients, and business transfer recipients as described above.
Sale or sharing
Koinetic does not sell personal information for money.
If we engage in advertising, analytics, or marketing activities that are considered "sharing" or a "sale" under California law, we will provide required notices and opt-out mechanisms.
Sensitive personal information
We do not use sensitive personal information for purposes requiring a right to limit unless we provide the required notice and choice.

16. European, UK, and Similar Privacy Rights
If you are in the European Economic Area, United Kingdom, Switzerland, or another jurisdiction with similar privacy laws, you may have rights under applicable data protection laws.
You may contact us to request access, correction, deletion, restriction, objection, portability, or withdrawal of consent.
You may also have the right to lodge a complaint with your local data protection authority.
Where Koinetic acts as a processor for a tenant, privacy requests relating to that tenant's property may need to be directed to the tenant as controller.
17. Marketing Communications
We may send service-related messages, billing messages, security notices, product updates, and support communications.
We may send marketing communications where permitted by law. You can opt out of marketing emails by using the unsubscribe link or contacting us.
Even if you opt out of marketing, we may still send non-marketing messages about your account, billing, security, transactions, policy changes, or Platform operations.
18. Children's Privacy
Koinetic is not intended for children under 13, and we do not knowingly collect personal information from children under 13.
Certain verticals or tenant properties may require higher age limits, age screening, geographic restrictions, or other controls. Tenants are responsible for applying required age and eligibility restrictions to their own properties.

19. Third-Party Links and Services
The Platform may link to or integrate with third-party websites, services, payment processors, identity providers, analytics tools, storage providers, email providers, KOIN-related services, tenant properties, custom front ends, or external destinations.
We are not responsible for the privacy practices of third parties. Their own privacy policies and terms apply.
20. Tenant Responsibilities
Tenants operating properties on Koinetic are responsible for:
- providing their own privacy notices where required;
- obtaining required consents;
- responding to privacy requests from their own visitors and customers;
- configuring forms, analytics, cookies, tracking, emails, reviews, claims, and marketplace features lawfully;
- ensuring their vertical-specific data collection is lawful;
- using connected processors and third-party tools in compliance with applicable law.
Koinetic may provide tools, but tenants remain responsible for how they configure and use them.
21. Changes to This Privacy Policy
We may update this Privacy Policy from time to time.
The updated version will be posted with a new "Last Updated" date. Changes become effective when posted unless we state otherwise.
If changes materially affect your privacy rights, we may provide additional notice where required by law.
